Scott A. Mautner’s practice focuses on complex corporate transactions, including mergers & acquisitions, venture financings, and commercial loans and refinancings.

Scott has represented companies at all stages of their life cycle, from start-up to exit, and regularly acts as outside general counsel to companies of all sizes. He forms entities, prepares partnership, stockholder and limited liability company operating agreements and structures transactions among the owners. Scott’s practice is industry agnostic, but he has a particular focus on technology, e-commerce, media and real estate clients.

Scott also represents clients in the acquisition, sale, financing and leasing of commercial real estate.

Earlier in his career, Scott served as the General Counsel and a member of the C-Suite for several technology, media and telecom companies. Two of the companies were venture/private equity backed, and Scott regularly worked with the investors on board and operational matters. 

Scott’s senior management leadership experience provides him with unique insight into both commercial and legal issues facing clients and allows him to offer specialized strategic guidance and practicable solutions in addressing client needs. That experience has also informed his approach to working in a cost-efficient manner.

Representative Matters

Commercial Real Estate

  • Acquired a warehouse and office building in a corporate park from a private equity real estate firm for $25 million, including negotiating and finalizing the IDA related agreements.
  • Sold three contiguous parcels of real property in the Bronx for an aggregate purchase price of $3.6 million.
  • Sold an office building in the Bronx for $4 million.

M&A

  • Sold all of the equity of a digital media agency in a strategic transaction for over $100 million.
  • Sold all of the equity of a public relations company to a private equity firm for over $10 million.
  • Sold all of the equity of a online content publisher for approximately $10 million plus earn-outs and employment agreements.
  • Sold all of the equity of an industrial company and all of the underlying related real estate in a strategic transaction for over $100 million.
  • Sold select assets and client lists of several accounting practices for over $1 million each.
  • Sold all of the equity of a promotional products company in a strategic acquisition for approximately $30 million.
  • Sold substantially all of the assets of a health care advisory and technology firm to a private equity firm for approximately $8 million.
  • Acquired substantially all of the assets of a retail and wholesaler of building and hardware supplies for $1 million in gross sale value, including consulting agreements and earn-outs.
  • Closed various rounds of convertible notes, SAFES, preferred equity for a variety of clients ranging in size from $1 million to $5 million.
  • Prepares and negotiates stockholder agreements, partnership agreements and LLC operating agreements.
  • Has negotiated and counseled on resolving ownership disputes for entities.
  • As General Counsel, closed numerous equity financing transactions involving original issuances and preemptive rights (including a Series B Preferred Stock round of $45 million).
  • As General Counsel, closed and restructured debt in excess of $140 million.
  • As General Counsel, closed strategic acquisitions of competitors of approximately $75 million.
  • As General Counsel, closed the sale of one entity for over $300 million.
